National Medical Care Company announces the results of its Ordinary General Meeting-Second meeting

National Medical Care Company (CARE) is pleased to announce the results of its Ordinary General Meeting (Second meeting), due to the lack of quorum required for the first meeting, which was held in the Lecture Hall at Riyadh Care Hospital at 7:30 pm on Sunday 29- 07-1439H corresponding to 15-04-2018G after obtaining the quorum required for the second meeting, with  44.18% attendance rate of the company capital, and the results of  the voting on the agenda of the Assembly were as follows

.Approving the Board of Directors Report for the financial year ended 31/12/2017
.Approving the auditor’s report for the year ended 31/12/2017
.Approving the audited financial statements for the financial year ended 31/12/2017

Approving the contract that will be between the company and the cooperative insurance company (TAWUNIYA), which the board member Mr. Raed Abdullah Al-Tamimi has interest though the membership of the board of directors of the cooperative insurance, which is to provide medical services and insurance coverage (without preferential conditions) and licensing for the coming year. Knowing that the transactions for the previous year amounted to (105,908,482) Saudi Riyals

Approving the contract that will be between the company and the General Organization for Social Insurance (GOSI), represented by the following board members Mr. Eyad Abdulrahman Al-Hussein and Ms. May Mohammed Al-Hoshan and Mr. Ahmed Abdulrahman Al-Humaidan. which is to provide medical services to treat work injuries (without preferential conditions) And licensing for the coming year. knowing that the transactions for the previous year amounted to (306,854,180) Saudi Riyals

Approving the contract that will be between the company and Darger Arabia Ltd., owned by FAL Arabia Holding Company, represented by board members Mr. Bader Fahad Al-Athel. which is to provide medical supplies (without preferential conditions) And licensing for the coming year. knowing that the transactions for the previous year amounted to (1,222,079) Saudi Riyals

Approving the contract that will be between the company and Arab medical supply company, owned by FAL Arabia Holding Company, represented by board members Mr. Bader Fahad Al-Athel. which is to provide medical supplies (without preferential conditions) And licensing for the coming year. knowing that the transactions for the previous year amounted to (26,917) Saudi Riyals

Approving the appointment of BDO Dr. Mohamed Al- Amri & Co as the external auditor amongst the candidates recommended by the Audit Committee for 2018 to examine, review and audit the financial statements for the second, third, fourth and annual financial year 2018 and the first quarter of 2019 for the company and determine the fees

Approving the recommendation of the Board of Directors to distribute cash dividends to shareholders for the year ended 31 December 2017 amounting to SR 44,850,000 (SR 1 per share) representing 10% of the nominal value of the share. The shareholders by the end of the date of the General Assembly of the Company and registered with the Company’s records at the Securities Depository Center Company by the end of the second trading day following the date of the Assembly. Note that the date of distribution of dividends will be on Sunday 22/4/2018G

.Approving the discharge of the members of the Board of Directors from their performance during the financial year ended 31/12/2017
Approving the payment of the remuneration of the members of the Board of Directors for the year 2017 at (200) thousand Riyals for each member of the Board of Directors, a total of (1,800,000) Riyals

.Approving the revised Audit Committee Charter
